TERMS AND CONDITIONS

Introduction

These Terms and Conditions (hereinafter the "Agreement") represent an offer of services within the meaning of Article (134) of the Federal Decree Law No. (5) of 1985 Concerning the Issuance of the Civil Transactions Law of the United Arab Emirates from DAOS BUSINESS CENTER L.L.C (hereinafter the "Daos hub", "We", "Us" or "Our") to the capable natural person (hereinafter "You", "Your" or "Member"), outlining the terms under which access to Our Website and Services is provided.

By selecting a Membership and paying the applicable Membership Fees, You acknowledge Your full acceptance of this Agreement and enter into a binding digital contract with the Daos hub and acknowledgemement and acceptance of Membership Rules.

By accessing the Website, You acknowledge that You have read, understood, and agreed to be bound by the terms of this Agreement related to the Website usage.

If You do not agree with this Agreement, then You are expressly PROHIBITED from using the Website or ordering our Services, so You must discontinue use immediately.

The Main Part

  1. Definitions
    1. Daos hub: DAOS BUSINESS CENTER L.L.C., the entity providing the facilities and services outlined in this Agreement.
    2. Premises: the office building located at office no. BCT Office Tower B, 51 & 52 floors Tower B Business Central Towers 6-10, Al Jaddi Street Al Sufouh 2, Dubai and includes Common Areas, private rooms, meeting rooms.
    3. Commencement Date: the date from which the provision of Services and access to the Premises will begin.
    4. Effective Date: the payment date as the date of execution of this Agreement provisions related to Membership. For the terms related to website usage, the Effective Date is the date the Member first accesses the Website.
    5. Expiration Date: the end date of the Membership Services, after which the Membership Services will no longer be provided.
    6. Membership Term: the term for the provision of the Services that begins on the Commencement Date and terminates on the Expiration Date.
    7. Member: any natural or legal entity that accepts this Agreement by paying the applicable fees, and utilizing the services offered by the Daos hub.
    8. Services: services that the Daos hub will provide to the Member in relation to the Premises according to the selected Membership package specified in Section 2. Offered Services of the Main Part of this Agreement.
    9. Agreement: these Terms and Conditions which constitute the binding agreement between the Daos hub and the Member upon the acceptance of the offer by payment of applicable fees.
    10. Common Areas: parts of the building and of the Premises which are used by all Members, the Member and Guests and relate to the following, without limitation: reception areas, lounges, break rooms, kitchenettes, technical areas, public lobbies, entrances, stairs, elevators, and other public facilities.
    11. Membership Fees: the payment to be made by the Member to the Daos hub according to the terms of this Agreement for the Membership Services.
    12. Membership: the specific types, levels, and conditions of services, amenities, and privileges that are available to the Member under the terms of this Agreement.
    13. Rules for Use of the Premises: the rules for the use of the Premises and standard conditions for the provision of Membership services, which apply to this Agreement and are an integral part of this Agreement. The Daos hub shall furnish the Member with the stipulated Rules about the use and occupancy of the Premises in a timely manner, ensuring delivery no later than a period of two (2) weeks preceding the designated Commencement Date.
    14. Member: each natural person that the Member authorizes on the Member List as being allowed to use the Premises and receive the Services.
    15. Member List refers to a record maintained by the Daos hub that identifies all individuals authorized by the Member to access and use the Premises and receive Membership Services under Membership Term.
    16. Website: Refers to the website operated by the Daos hub, where Members can view information and apply for Membership, accessible via the Internet link: https://www.daoshub.xyz/.
    17. Business day: Monday through Friday, from 8:00 a.m. to 23:00 p.m. (GMT+4 Dubai Time), excluding public holidays in Dubai.
    18. Governing Documents: documents specified in Section 12. Governing Documents of the Main Part of this Agreement, which, together with this Agreement, govern the relationship between the Member and the Daos hub.
    19. Guest: any individual invited by a Member to visit or access the Premises for a limited period, under the Member's responsibility.
  2. Offered Services
    1. Member’s Membership starts on the Commencement Date and includes access to the Premises and services based on Member’s selected package:
      • Networking Card: Provides access to community networking opportunities, events, and social spaces during such events.
      • Flex Card: Grants flexible access to workstations in shared areas along with network access, events, and essential support services.
      • Hot Desk Card: Grants access to a workstation in a common area, network, events and services.
    2. The Daos hub shall provide the Member access to the Premises and related Services as outlined in this Agreement. The specific Services offered will depend on the type of Membership package selected by the Member and the number of authorized Members
    3. The Member is required to complete a questionnaire provided by the Daos hub, supplying all necessary information, including the selected Membership package and names and details of the individuals (Members) authorized to use the Premises. This information will be used to issue the appropriate cards to the designated Members for access to the Premises. If this information is not provided, the Daos hub reserves the right to terminate this Agreement.
    4. The Daos hub may provide the Member (and Members, as applicable) with the following Services:
      • Basic Support Services: General administrative, reception, and facility maintenance support.
      • Workspace Access: Flexible workstations, meeting areas, and private office options.
      • Amenities and Social Spaces: Access to common areas, refreshment points, and relaxation spaces.
      • Community and Networking Opportunities: Participation in various networking activities.
      • Additional Services: The Daos hub may also provide other services or amenities as agreed upon or made available to enhance the Member’s experience.
    5. Daos hub can also provide Member access to:
      • Hot Desk: Offers unassigned seating in shared areas, including access to common facilities and networking events.
      • Dedicated Desk: Includes a reserved workspace in shared areas, along with access to all common facilities, events, and premium services.
      • Private Office: Provides exclusive access to a fully furnished private office, including utilities and standard office support services.
      • Business Suite Standard: A customizable office solution for small teams, offering dedicated meeting areas and enhanced privacy.
      • Business Suite Premium: Includes larger office spaces with upgraded amenities for professional teams requiring additional resources.
      • Executive Office: A high-end office offering premium furnishings, dedicated support services, and priority access to meeting rooms and events.
    6. Offices are available through separate agreements between the Member and the Daos hub.
    7. Each Membership issued under this Agreement is non-transferable and must only be used by the individual authorized by the Member as a Member. Any attempt to transfer or share a Membership may result in its cancellation and restriction from accessing the services of the Daos hub.
    8. The Daos hub has the right to close the Premises on official public holidays in Dubai and up to five (5) additional business days per year for internal purposes such as maintenance or staff training, and closed events. No prior notice is required. No refunds or extensions apply for such closure days.
  3. Payment Terms
    1. The Member shall pay the applicable Membership Fees based on:
      • The selected Membership package.
      • The number of authorized Members.
    2. Fees are agreed upon at the time of Membership approval.
    3. Membership Fees are non-refundable unless otherwise specified in this Agreement. The Daos hub may, at its sole discretion, refund any unused portion of the Membership Fees if the Member terminates the Agreement under the conditions stipulated in Section 8. Term of the Agreement and Termination Process of the Main Part of this Agreement.
    4. The Membership Fees and any other payments due under this Agreement are exclusive of VAT 5% or any other applicable taxes, which shall be added to the final payment.
    5. Any additional Services beyond those included in the selected Membership package shall be invoiced separately. The fees for these Services shall be communicated to the Member in advance and payable according to the same terms as the Membership Fees.
  4. Rights and Obligations of the Parties
    1. Rights and Obligations of the Daos hub.
      • The Daos hub shall provide the Member with access to the Premises and the Services outlined in the selected Membership package, subject to the terms of this Agreement.
      • The Daos hub shall maintain the Premises in good working condition, ensuring that all facilities and common areas are safe and functional.
      • The Daos hub provides the Member with an invoice detailing the specific services included, the chosen Membership package.
      • The Daos hub reserves the right to access the Member’s Dedicated Desks, with or without notice, for safety or emergency purposes or any other purposes. 
    2. Rights and Obligations of the Member.
      • The Member shall keep the interior of the Premises clean and in proper working condition, subject to usual wear and tear.
      • The Member, along with their Members and Guests, shall use the Premises and services provided by the Daos hub only for lawful purposes and under its business license, visas and immigration status, as well as adhere to the Daos hub's fire safety protocols, emergency procedures, and established coworking rules. This includes maintaining safety, respecting shared spaces, and following any posted guidelines to ensure a safe and harmonious environment.
      • The Member is prohibited from conducting any business activities on the Premises that are not outlined in their Business License or that may contravene UAE laws related to visas and immigration status.
      • The Member is responsible for ensuring that all Members authorized to use the Premises and Guests are aware of and comply with the terms of this Agreement. The Member may designate Members through the questionnaire and is responsible for updating the list of authorized Members as necessary.
      • The Member shall have the right to receive Services and get access to the Premises and the Common areas under the terms of this Agreement.
      • The Member is responsible for all of their assets located on the Premises, as well as the assets of their respective Members and Guests.
      • The Member agrees to comply with all applicable laws and regulations of the UAE while using the Premises. Any illegal or unlawful activities on the Premises may result in the immediate termination of the Agreement.
  5. Damage to the Premises
    1. If any damage to the Premises occurs due to the fault of the Member, their Member or Guest, the Member shall be liable for such damage to the Daos hub.
    2. The Member hereby agrees to reimburse the Daos hub, its employees, contractors, and/or other tenants for any losses, damages, costs, and expenses suffered due to willful misconduct, negligence, or any breach of this Agreement or other Governing Documents by the Member, their Members or Guests.
    3. The Member shall promptly notify the Daos hub of such damage to the Premises (including any furniture and techniques) that occurred due to their fault or their employees, contractors, partners, Members and Guests and shall utilize its best effort to minimize the damage and prevent deterioration of the Premises’ condition.
    4. The Member shall pay compensation for damages to restore the condition of the Premises to its original state within 5 (five) business days from the date of the respective Daos hub’s compensation claim. If the Member fails to make this payment within the specified period, the Daos hub reserves the right to deduct the compensation amount from a security deposit or any other payments made or to be made by the Member.
    5. If a security deposit is used in part or in full to cover unpaid fees or damages, the Member shall be required to restore the deposit to its original amount within a reasonable period, as determined by the Daos hub. Failure to do so may result in suspension or termination of the Member's Membership.
    6. In cases where the Member disputes the amount claimed for damages and refuses to pay, the Daos hub reserves the right to deduct the disputed amount from a security deposit. Continued failure to comply with payment or reimbursement requirements may result in additional actions, including legal measures, as deemed necessary by the Daos hub.
  6. Liability
    1. The Member agrees that the Daos hub, its employees, agents, contractors, and subcontractors shall not be liable for the death or injury to the Member, their authorized Members, or Guests, nor for any property damage incurred by the Member, their Members and Guests, except where the Daos hub is liable under the applicable legislation of the UAE.
    2. The Daos hub shall not be responsible for any damage or loss that may occur due to the actions or negligence of third parties, including other members of the Daos hub, Members or Guests of the Member.
    3. To the extent permitted by law, the Member shall indemnify and hold harmless the Daos hub from and against any and all claims, including third-party claims, liabilities, and expenses (including reasonable attorneys’ fees), resulting from any breach or alleged breach of this Agreement by the Member or their related persons (such as employees, guests, or agents). This indemnification does not apply in cases where a claim arises from the gross negligence, willful misconduct, or fraud of the Daos hub.
    4. The Daos hub shall not be liable for, and shall not be considered in default or breach of this Agreement due to, any delay or failure to perform arising out of or caused by forces beyond the Daos hub’s reasonable control, provided for in Section 7. Force Majeure of the Main Part of this Agreement.
  7. Force Majeure
    1. With the exceptions stipulated within this Agreement, the Parties are not responsible for non-fulfilment (or improper fulfilment) of their obligations under this Agreement if such non-fulfilment results from Force Majeure circumstances.
    2. According to this Agreement, floods, epidemics, epizootic events, earthquakes, and other natural or man-made accidents, revolts, embargoes, wars or military actions of any type, occupations, mobilizations, social unrest, strikes, acts of public authorities, or any other circumstances which are beyond the reasonable control and will of the Parties, and have occurred after the Effective Date, and which obstruct the Party’s fulfilment of its obligations under this Agreement, shall be considered Force Majeure circumstances.
    3. A Party affected by Force Majeure circumstances is required immediately (as soon as circumstances allow, but no later than 5 (five) calendar days from the moment of the occurrence) to notify the other Party about the occurrence, nature, and potential duration of the Force Majeure circumstance. Failure to fulfil this obligation deprives the affected Party of the right to refer to the indicated Force Majeure circumstance.
    4. In the event of a Force Majeure circumstance, the Parties shall meet as soon as possible to seek to minimize the effects of the Force Majeure circumstance on the Parties.
    5. The duration of a Force Majeure circumstance shall extend the period for fulfilment of obligations by the Parties for a corresponding period. If a Force Majeure circumstance persists for a continuous period in excess of 3 (three) months, the Daos hub shall have the right to terminate this Agreement upon the delivery of written notice to the Member at least 10 (ten) calendar days in advance. The Member may terminate the Agreement after providing written notice at least 30 (thirty) calendar days in advance.
    6. In the event of a flood, water leakage, or any other water-related incident that prevents the Daos hub from operating or providing the Services specified in this Agreement, the Daos hub shall notify the Member as soon as reasonably possible. The Daos hub shall not charge the Member for any period during which the Member cannot access or use the Premises due to such an event. The Daos hub shall take all reasonable steps to remedy the situation and resume operations as soon as practicable.
  8. Term of the Agreement and Termination Process
    1. The Membership Term shall begin on the Commencement Date and end on the Expiration Date. This period shall define the duration of the Services provided by the Daos hub to the Member.
    2. Unless otherwise agreed by the Parties in writing, following the Membership Term, this Agreement shall continue on a month-to-month basis (the "Renewal Term").
    3. If no Membership Term is indicated, the default Membership Term shall commence on the Commencement Date and end 1 (one) year after the Commencement Date. This Agreement will continue until terminated in accordance with this Agreement.
    4. The Agreement shall be terminated in the following events:
      • expiration of the Membership Term provision;
      • by written consent of the Parties;
      • upon the court decision;
      • loss (destruction) of the Premises, whether before or after the Commencement Date; and
      • in case the Member is found insolvent (bankrupt), or the insolvency (bankruptcy) proceeding was launched against the Member.
    5. The Daos hub shall have the right to unilaterally terminate this Agreement if the Member commits a breach of this Agreement and fails to remedy the breach within 30 (thirty) calendar days after receiving written notice from the Daos hub.
  9. Video Surveillance and Data Processing
    1. By entering and using the Daos hub’s Premises, the Member, Members, and Guests consent to video surveillance within the Premises, including recordings for security and operational purposes. Video recordings may be used to monitor the Premises and may also be utilized for promotional purposes, with strict adherence to data protection regulations.
    2. The Member and Members authorize the Daos hub to use video, audio, and photographic recordings made within the Premises. These recordings may be published or displayed on the Daos hub’s website and materials, ensuring they are used lawfully and without infringing on individual rights. Requests to object to publication may be submitted in writing, and the Daos hub will reasonably accommodate such requests.
    3. All recordings are considered Personal Data and are processed in accordance with applicable privacy laws and the Daos hub’s Privacy Notice. Technical and organizational measures are in place to ensure the confidentiality and security of recordings, preventing unauthorized access or misuse.
    4. The Member, Members, and Guests have the right to object to certain uses of their Personal Data, request access to recordings, or seek removal of their image where possible. Requests can be made by contacting the Daos hub as outlined in the Membership Privacy Notice.
    5. Recordings are retained only for the period necessary to fulfil security, operational, or promotional purposes. Once this period ends, recordings are deleted or anonymized in line with data protection policies.
  10. Intellectual Property and Permitted Use
    1. All intellectual property rights, including but not limited to copyrights, trademarks, brochures, designs, proprietary materials, and any other intellectual property present within the Premises or on the Website, as well as any photographs or illustrations of any portion of the Premises, any other intellectual property, available on or through the Website and/or provided by the Daos hub to the Member in connection with the Services, are owned by the Daos hub or its licensors.
    2. The Member acknowledges that no ownership rights are transferred under this Agreement.
    3. The Member hereby consents to Daos hub’s non-exclusive, non-transferable use of the Member’s company name and/or logo in connection with identifying the Member as member within Daos hub’s Membership program as stated in this Agreement for Daos hub’s portfolio and marketing purposes. This clause only applies to legal entities which are entering into this Agreement.
  11. Notices, Inquiries and Complaints
    1. All notices required or permitted under this Agreement must be made in writing and delivered by one of the following methods:
      • In case of sending notice to the Daos hub:
        • Via Email: to the Daos hub’s email info@daoshub.xyz;
        • Via Registered Mail: Sent to the respective address of the Premises;
      • In case of sending notice to the Member:
        • Via Email specified in the questionnaire;
        • Via Telegram account specified in the questionnaire;
        • Via Registered Mail: Sent to the respective contact address.
    2. Notices shall be deemed delivered:
      • Notices sent by email shall be considered delivered on the next business day following the day the email is sent, provided no error message is received.
      • Notices sent by registered mail shall be considered delivered on the fourteenth (14th) calendar day after being sent. If the fourteenth day is not a business day, the notice shall be deemed delivered on the next business day.
  12. Governing Documents
    1. The following documents, together with this Agreement, govern the relationship between the Member and the Daos hub. These documents form an integral part of this Agreement, and the Member agrees to be bound by their terms:
      • Privacy Policy: Governs the collection, processing, and use of personal data in relation to the Membership Services and the use of the Premises.
      • Rules for Use of the Premises: Outlines the rules and regulations for the use of the Premises, including safety protocols, access, and other operational guidelines.
      • Membership Details Form: Contains specific details regarding the Membership package, authorized Members, and services selected by the Member.
    2. In the event of any conflict or inconsistency between this Agreement and the Governing Documents, the terms of this Agreement shall take precedence unless otherwise expressly stated in the Governing Documents.
    3. The Member may access Governing Documents via the Website.

Services Provided within the Website

  1. List of Services Provided through the Website
    1. The Daos hub provides information on its Website regarding current Membership packages, available facilities, scheduled events, community networking opportunities, and additional services.
    2. Members may submit applications via the Website, choose suitable Membership packages, review available options, and contact Daos hub representatives for further details and assistance.
    3. The Website may also offer additional resources such as newsletters, event registration, community announcements, and updates to enhance Member experience and engagement.
    4. The list of services currently presented on the Website represents the Daos hub’s standard service offerings. However, this list may change periodically and does not constitute a fixed commitment or guarantee to include any specific service.
  2. Payment and Services Ordering
    1. To order services, Members must submit an application via the Website specifying the chosen Membership package and providing all required information.
    2. Upon receiving the Member's application, the Daos hub shall review and confirm eligibility and availability. Following successful confirmation, the Daos hub and Member shall mutually agree upon specific Membership terms and services.
    3. Upon mutual agreement, the Daos hub shall issue an invoice to the Member detailing the specific services included, chosen Membership package, and the agreed Membership Term. The issuance of this invoice constitutes a formal offer to conclude the Agreement.
    4. Payment of the issued invoice by the Member constitutes acceptance of the offer, including the listed services, Membership package, the Membership Term, and any additional conditions specified in the invoice. By making payment, the Member confirms understanding and acceptance of the agreed-upon terms, and the Agreement is deemed concluded.
    5. Once the invoice is paid, the Daos hub is not obligated to amend or modify the scope of services outlined therein, regardless of any future changes to services listed on the Website.
    6. Payment terms, including applicable Membership Fees and payment schedules, will be specified during the membership application process. Members will be informed of any additional fees related to services ordered through the Website.
    7. All payments are subject to the terms outlined in Section 3. Payment Terms of the Main Part of this Agreement.
  3. Know Your Customer (KYC) Verification
    1. Following invoice payment, as part of the initial onboarding process, the Daos hub shall conduct a Know Your Customer (KYC) verification.
    2. Should the Member fail to provide required information within the stipulated 14-day period, or if the Member’s documentation does not satisfy Daos hub’s internal compliance standards, the Daos hub retains the right to suspend or terminate the Agreement within 30 (thirty) calendar days from the initial application date, without obligation to provide justification or incur any liability.
    3. In the event of Membership termination due to unsuccessful KYC verification, the Daos hub shall fully refund any payments already made by the Member.
